1. ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”) govern access to and use of any website, platform, software, application, system, form, communication channel, or digital property operated by US Booths Tech LLC (“US Booths,” “we,” “our,” or “us”).
By accessing, browsing, submitting information through, or using any US Booths platform or service, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.
These Terms apply to all users, including but not limited to visitors, customers, contractors, partners, vendors, licensees, and affiliates.
2. CORPORATE STRUCTURE & APPLICABILITY
US Booths Tech LLC operates as the technology, systems, and digital infrastructure entity for the US Booths National Group, which includes holding entities, state-level operating companies, manufacturing entities, sales entities, training programs, certification programs, and licensed partners.
These Terms apply across the entire US Booths organizational structure, regardless of which affiliated entity ultimately delivers a specific product or service.
3. BUSINESS-TO-BUSINESS USE
Unless expressly stated otherwise in a separate written agreement, all services and platforms provided by US Booths are intended for commercial and business-to-business (B2B) use only. US Booths does not offer consumer retail services under these Terms.
4. SERVICES OVERVIEW
US Booths provides, directly or through affiliated entities and certified partners:
- Commercial custom furniture manufacturing
- Commercial upholstery services
- Mobile upholstery services
- Design, fabrication, and installation services
- Technology platforms and operational systems
- Training, certification, and educational programs
- Partner, licensing, and enterprise services
All services are subject to internal approval, capacity, and operational constraints.
5. NO GUARANTEE OF AVAILABILITY OR RESULTS
US Booths makes no guarantees regarding:
- Continuous or uninterrupted availability of platforms or services
- Acceptance of any project, inquiry, or partnership
- Commercial outcomes, revenue, timelines, or results
- Availability in all geographic markets at all times
6. USER REPRESENTATIONS & RESPONSIBILITIES
You represent and agree that:
- All information you provide is accurate, current, and complete
- You have authority to act on behalf of the business you represent
- You will use US Booths platforms only for lawful business purposes
- You will not misuse, copy, reverse engineer, or interfere with US Booths systems or intellectual property
US Booths reserves the right to restrict or terminate access for violations.
7. COMMUNICATIONS & CONSENT
By submitting any form, inquiry, application, or information through any US Booths platform, you expressly consent to receive communications from US Booths Tech LLC and its affiliated entities, including:
- Emails
- Phone calls
- SMS or text messages
- Automated or system-generated messages
- Operational, transactional, marketing, and follow-up communications
Communications may be delivered using automated technology, CRM systems, or third-party communication platforms. Consent to receive communications is not a condition of purchase.
You may opt out of certain communications at any time by following the instructions provided or by contacting US Booths directly. Message and data rates may apply depending on your carrier.
8. DATA COLLECTION & PRIVACY
US Booths collects, stores, and processes information in accordance with its Privacy Policy, which is incorporated by reference into these Terms. By using US Booths platforms, you consent to data practices described in the Privacy Policy.
9. INTELLECTUAL PROPERTY
All content, software, systems, workflows, designs, documentation, trademarks, logos, and proprietary processes associated with US Booths are the exclusive property of US Booths or its licensors.
No rights or licenses are granted except as expressly stated in a written agreement.
10. THIRD PARTIES & PARTNERS
Certain services may be delivered by independent contractors, certified partners, or affiliated entities. US Booths Tech LLC is not responsible for the acts or omissions of independent third parties except as required by law or stated in a written agreement.
11. PAYMENTS & COMMERCIAL TERMS
Pricing, payment terms, scopes of work, and commercial obligations are governed by separate written proposals, invoices, statements of work, or agreements.
Submission of a form or inquiry does not constitute acceptance of pricing or scope.
12. DISCLAIMERS
All services and platforms are provided “AS IS” and “AS AVAILABLE.” US Booths disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, US Booths shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or data loss.
Total liability shall not exceed the amount paid to US Booths for the specific service giving rise to the claim.
14. INDEMNIFICATION
You agree to indemnify and hold harmless US Booths, its affiliates, officers, directors, employees, and partners from any claims, damages, liabilities, or expenses arising from your use of the platforms or violation of these Terms.
15. TERMINATION
US Booths may suspend or terminate access to any platform or service at any time, with or without notice, for operational, legal, or strategic reasons.
16. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming.
17. MODIFICATIONS
US Booths reserves the right to modify these Terms at any time. Continued use of the platforms constitutes acceptance of the revised Terms.
